POPMANTRA TERMS OF SERVICE Effective Date: September 21, 2026 Last Updated: September 21, 2026

These Terms of Service (“Terms”) govern your access to and use of Popmantra, including the Popmantra website, web application, ticketing services, event and community features, digital badges, blockchain-enabled features, check-in tools, integrations, and related services (collectively, the “Services”).

Popmantra is currently operated by The Clever Group LLC, doing business as Popmantra (“Popmantra,” “we,” “us,” or “our”).

Please read these Terms carefully. By creating a Popmantra account, purchasing or claiming a ticket through Popmantra, creating or managing an event or community, accessing or using the Services, or otherwise indicating your acceptance of these Terms, you agree to be bound by them.

THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE REVIEW SECTION 22 CAREFULLY. EXCEPT FOR CERTAIN DISPUTES DESCRIBED BELOW OR WHERE PROHIBITED BY LAW, YOU AND POPMANTRA AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT OR THROUGH A CLASS ACTION.

If you do not agree to these Terms, do not use the Services.

1. Eligibility You must be at least 18 years old to create a Popmantra account or use the Services.

By using Popmantra, you represent that:

● you are at least 18 years old;
● you have the legal capacity to enter into these Terms;
● the information you provide to Popmantra is accurate and not intentionally misleading; and
● your use of the Services will comply with these Terms and applicable law.

Individual events may impose additional eligibility requirements, including age restrictions. For example, certain events involving alcohol or other age-restricted activities may require attendees to be 21 years of age or older.

Popmantra does not guarantee that every event available through the Services is appropriate or available for every user.

2. Accounts and Profiles An email address is currently required to create a Popmantra account. Users may also provide or be asked to provide profile information such as a name, username, date of birth, location, and profile image.

You are responsible for maintaining the security of your account and authentication methods and for activity occurring through your account.

Multiple accounts are not currently prohibited, provided they are not used to commit fraud, manipulate rewards or attendance, evade restrictions, impersonate others, or otherwise violate these Terms.

Popmantra may suspend, restrict, or terminate accounts that violate these Terms or that we reasonably believe are associated with fraud, abuse, unlawful conduct, security threats, or conduct harmful to Popmantra, its users, organizers, communities, or partners.

Account Deletion

Popmantra does not currently provide self-service account deletion. Users wishing to request deletion of their Popmantra account may contact info@Popmantra.io.

Deleting a Popmantra account may not delete blockchain transactions, blockchain records, or digital assets that have already been recorded on a public or decentralized blockchain. Blockchain records may be permanent or otherwise outside Popmantra’s ability to modify or erase.

The ability to export, recover, or access an embedded wallet outside Popmantra may depend on the wallet provider, authentication method, blockchain infrastructure, and technical capabilities available at that time. Popmantra does not promise that a wallet or digital asset will always be exportable or compatible with third-party services.

3. Events and Organizers Popmantra provides technology that allows organizers to create communities, list and manage events, sell or distribute tickets, manage attendance, issue eligible badges, and interact with their communities.

Unless an event is expressly identified as being produced or operated by Popmantra, the event is independently produced and controlled by the applicable organizer.

An independent organizer—not Popmantra—is responsible for its event, including, as applicable:

●   event planning and production;
●   venue selection and operation;
●   event descriptions and representations;
●   admission requirements;
●   accessibility;
●   staff, contractors, performers, security, and vendors;
●   required permits, licenses, approvals, and insurance;
●   compliance with applicable laws;
●   alcohol or other regulated activities;
●   attendee safety;
●   cancellations and postponements;
● organizer-promised perks and experiences; and
● disputes arising from the organizer’s operation of the event.

Popmantra’s provision of ticketing, check-in, badge, community, or other technology for an independently operated event does not make Popmantra the producer, sponsor, operator, employer, partner, or agent of the organizer unless Popmantra expressly agrees otherwise in writing.

When Popmantra itself produces an event, Popmantra is responsible for its own obligations relating to that event, subject to the event-specific terms and applicable law.

4. Organizer Accounts and Responsibilities Subject to the Services then available, eligible users, businesses, brands, and organizations may create communities and operate as organizers without advance approval by Popmantra.

The ability to create an account or community does not constitute Popmantra’s endorsement, verification, certification, or approval of an organizer.

Organizers are responsible for ensuring that their events, communities, listings, promotions, rewards, content, and activities comply with applicable law and these Terms.

Popmantra reserves the right to remove or restrict an event, community, organizer, or related content where we reasonably believe doing so is appropriate for reasons including fraud, safety, security, unlawful conduct, policy violations, intellectual-property concerns, abuse, or protection of the Popmantra ecosystem.

5. Tickets, Payments, and Fees Organizer as Ticket Seller

Unless Popmantra expressly identifies itself as the producer or seller of an event, tickets offered through Popmantra are offered by the applicable organizer using Popmantra’s technology.

Organizers determine their own ticket prices.

Payment Processing

Payments may be processed using third-party payment providers, including Stripe. Use of third-party payment services may also be subject to the applicable provider’s terms and policies.

Under Popmantra’s current payment process, funds from ticket transactions are received through Popmantra’s payment infrastructure and are generally scheduled for release to the organizer approximately 24 hours after the applicable transaction or according to the payout process then in effect.

The 24-hour period is an estimated processing schedule and is not a guarantee of settlement or availability at an exact time. Payouts may be delayed, withheld, reversed, or otherwise affected by payment processors, banks, fraud reviews, chargebacks, legal requirements, technical issues, account status, or other circumstances.

Popmantra Fees

For paid tickets, Popmantra currently charges a platform/badge fee of $2.50 plus 3% of the ticket price, unless different pricing is disclosed at the time of the transaction or agreed separately.

Popmantra currently does not charge this fee for free tickets.

Unless required by applicable law or expressly stated otherwise, Popmantra platform fees are nonrefundable.

Popmantra may change its fees prospectively. Applicable fees will be disclosed through the Services or otherwise communicated before they apply.

6. Refunds, Cancellations, Postponements, and Transfers Independent organizers establish and are responsible for their event refund, cancellation, and postponement policies, subject to applicable law.

Popmantra currently does not provide organizers with a general in-platform refund mechanism. Organizers are responsible for handling any refunds they choose or are legally required to provide through the means available to them.

If an independent event is canceled, postponed, relocated, materially changed, or rescheduled, the organizer is responsible for its applicable policies, communications, and obligations to attendees.

Popmantra currently does not provide a native ticket-transfer feature. An organizer may independently determine whether it will accommodate a ticket transfer, but Popmantra does not guarantee or facilitate such transfers unless the Services expressly provide otherwise.

Nothing in this section eliminates any rights or remedies that cannot legally be waived.

7. Check-In and Third-Party Ticketing Integrations Popmantra may provide event check-in functionality and may permit organizers to integrate or use information from third-party ticketing or event platforms, including the ability to scan or process compatible third-party QR codes.

Third-party services are independently operated and may be governed by their own terms, policies, and privacy practices.

Popmantra does not control and is not responsible for the availability, accuracy, security, operation, or continued compatibility of third-party services.

We may add, modify, suspend, or discontinue integrations at any time.

8. Digital Badges and Proof of Attendance Popmantra uses digital badges to recognize attendance, participation, community status, or other qualifying activity.

Paid Events

For qualifying paid tickets where badge issuance is enabled, applicable badge costs may be incorporated into the ticket transaction. Attendance badges are generally issued approximately 48 hours after an event, subject to the applicable event configuration, eligibility, technical availability, and other conditions.

The 48-hour period is an estimated issuance schedule and is not guaranteed.

Free Events

Free tickets do not automatically include paid badge issuance.

For eligible free attendees, an organizer may have the option to purchase or fund badge issuance for attendees. Applicable costs may be deducted from the organizer’s or community’s available balance or wallet.

Badge Eligibility

Receiving a ticket does not necessarily guarantee receipt of a badge. Badge issuance may depend on attendance, event configuration, organizer selections, payment status, technical processing, anti-fraud measures, and other eligibility requirements.

Popmantra may modify badge issuance procedures and eligibility rules as the Services evolve.

9. Blockchain and Digital Asset Terms Certain Popmantra badges are blockchain-based digital assets or non-fungible tokens (“NFTs”) recorded on-chain.

Popmantra currently uses Base, an Ethereum Layer 2 network, for certain blockchain functionality. Popmantra reserves the right to migrate, replace, modify, or discontinue any blockchain network, smart contract, wallet provider, or related infrastructure where reasonably necessary or appropriate.

Embedded Wallets

Popmantra currently uses third-party embedded wallet infrastructure to facilitate blockchain wallets associated with user accounts. Wallet creation and access may be connected to the authentication method used for the user’s Popmantra account.

Users may not receive or interact with a traditional seed phrase or private key through the ordinary Popmantra user experience.

Blockchain and wallet functionality depends in part on third-party infrastructure. Popmantra does not guarantee the continued availability, functionality, security, portability, or compatibility of any particular wallet technology, blockchain network, authentication method, or third-party provider.

Blockchain Permanence

Blockchain transactions may be irreversible. Information or assets recorded on-chain may continue to exist after a Popmantra account is deleted, suspended, or terminated.

Popmantra may be technically unable to delete or reverse an on-chain token or transaction.

Invalid or Fraudulent Badges

Popmantra may refuse to issue, recognize, or provide platform benefits associated with badges obtained through fraud, manipulated attendance, payment fraud, chargebacks, system abuse, technical error, or violations of these Terms.

Where an on-chain badge cannot technically be deleted, Popmantra may mark it as invalid, cease recognizing it within Popmantra, restrict associated functionality or benefits, or take other technically available action.

10. Badge Transfers, External Transactions, and Value Popmantra currently does not provide or facilitate a public marketplace or native person-to-person badge trading feature.

Blockchain technology may nevertheless permit technically sophisticated users to interact with certain assets using compatible third-party tools or services outside Popmantra.

Any such external interaction is undertaken at the user’s own risk.

Popmantra does not guarantee:

●   the availability of any secondary market;
●   that any person will purchase a badge;
●   any minimum or future monetary value;
●   compatibility with third-party wallets or marketplaces;
●   continued platform functionality following an external transfer;
● recovery of incorrectly transferred assets; or
● that external platforms will honor Popmantra functionality, metadata, royalties, community status, or benefits.

A POPMANTRA BADGE IS NOT STOCK, EQUITY, A SECURITY, A PROFIT-SHARING RIGHT, AN OWNERSHIP INTEREST IN POPMANTRA OR AN ORGANIZER, OR A PROMISE OF FINANCIAL RETURN.

Badges are primarily intended to represent participation, attendance, recognition, access, status, or community engagement.

Certain smart contracts may include or support creator or platform royalty functionality associated with secondary transactions. The operation or enforcement of such functionality may depend on the applicable smart contract, marketplace, protocol, or blockchain infrastructure. Popmantra does not guarantee that royalties will be collected on every external transaction.

11. Community Membership and Status

Popmantra communities may use attendance and other qualifying activity to establish community-specific membership status.

The current standard membership framework may include levels such as:

● Member
● VIP
● Ambassador

These levels are community-specific. Status earned in one community does not automatically provide equivalent status in another community.

Each organizer may establish its own qualifying requirements. For example, one community may require a different number of qualifying attendance badges to reach VIP status than another community.

Popmantra may introduce additional levels, customizable tier names, progression systems, or other membership structures in the future.

Some membership badges or credentials may be dynamic, meaning their displayed status, metadata, or associated functionality may change as a user progresses.

12. Community Perks and Rewards Organizers determine the benefits, perks, eligibility requirements, availability periods, expiration conditions, and other rules associated with their communities and membership tiers.

Unless expressly stated otherwise, achieving a particular status does not guarantee that every associated perk will remain available indefinitely.

For organizer-created perks, the organizer is responsible for accurately describing and fulfilling the perk.

For a reward expressly offered directly by Popmantra, Popmantra is responsible for its own stated obligations.

Third-party or brand-provided rewards may be subject to additional terms established by the applicable provider.

Organizers may remove users from their communities or revoke community access subject to applicable law and Popmantra’s policies. Removal from a community does not necessarily erase historical blockchain records or attendance badges.

Popmantra may restrict a user’s ability to access communities through the Popmantra platform when reasonably necessary to enforce these Terms, protect users or platform integrity, address fraud or abuse, comply with law, or address security or safety concerns.

13. Paid Community Memberships Popmantra does not currently provide general paid community membership functionality.

Organizers may not circumvent Popmantra payment systems or applicable fees for transactions, products, memberships, or features that Popmantra requires to be processed through the Services.

Popmantra may introduce paid organizer plans, paid memberships, subscription features, free trials, or additional monetization tools in the future. Applicable prices, billing periods, renewal terms, cancellation conditions, and other material terms will be disclosed when such services are offered.

14. User Conduct and Community Standards You may not use Popmantra to engage in conduct that is unlawful, fraudulent, abusive, exploitative, threatening, hateful, or harmful.

Prohibited conduct includes, without limitation:

●   harassment or sexual harassment;
●   credible threats, stalking, or promotion of violence;
●   hateful conduct or content targeting people based on protected characteristics;
●   sexually explicit content, prohibited nudity, or sexual exploitation;
●   child sexual exploitation or abuse material;
●   fraud, scams, deceptive activity, or ticket fraud;
●   impersonation or misrepresentation;
●   manipulating attendance, badges, community status, rewards, or eligibility;
●   using bots or unauthorized automated systems;
●   spam or abusive solicitation;
●   scraping or harvesting data without authorization;
●   hacking, probing, disrupting, or circumventing platform security;
●   introducing malware or malicious code;
●   attempting unauthorized access to accounts, wallets, systems, or information;
●   using Popmantra to facilitate illegal activity;
●   infringing intellectual-property or other legal rights;
● abusing refunds, chargebacks, rewards, promotions, or payment systems; or
● helping another person violate these Terms.

Profanity alone is not prohibited. However, language may violate these Terms when used as part of harassment, threats, hateful conduct, or other prohibited behavior.

Popmantra may take reasonable action against harmful conduct even where the precise conduct is not expressly listed above.

15. User and Organizer Content Users may be able to upload profile images and other content. Organizers may upload materials including logos, photographs, videos, event descriptions, promotional materials, and community content. Users may also interact with certain community content, including replies to community announcements.

You retain whatever ownership rights you lawfully hold in content you submit to Popmantra.

By submitting content, you represent that you have the rights and permissions necessary to provide that content and to grant the license described below.

You grant Popmantra a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, format, adapt, and otherwise use your submitted content as reasonably necessary to:

●   operate and improve the Services;
●   display and promote events and communities;
●   provide functionality requested by users and organizers;
● protect and secure the Services; and
● market and promote Popmantra, its platform, events, communities, and related activities, subject to applicable law.

This license does not transfer ownership of your content to Popmantra.

Popmantra may remove or restrict content that violates these Terms or that we reasonably believe creates legal, security, safety, or platform-integrity concerns.

Popmantra does not undertake an obligation to pre-screen or continuously monitor all user or organizer content.

16. Photography, Video, and Event Media Events listed through Popmantra may be photographed, filmed, livestreamed, or otherwise recorded by organizers, Popmantra, media personnel, sponsors, attendees, or other authorized persons, subject to the organizer’s event rules and applicable law.

By attending an event where Popmantra is authorized to capture media and where appropriate notice is provided, you acknowledge that you may appear incidentally or intentionally in photographs, video, audio, or other event recordings.

To the extent permitted by applicable law, you authorize Popmantra to use media lawfully captured by or on behalf of Popmantra in connection with Popmantra’s marketing, promotion, social media, event recaps, platform communications, and related business purposes.

Organizers independently control their own event photography and recording policies and are responsible for complying with applicable law.

Popmantra will respect an organizer’s restriction prohibiting Popmantra from capturing media at an independently operated event.

If you have concerns about Popmantra’s use of an identifiable image or recording of you, contact info@Popmantra.io. Popmantra will review reasonable requests, subject to applicable law, technical limitations, prior lawful uses, and other relevant circumstances.

17. Intellectual Property The Popmantra platform and Popmantra-created materials—including, as applicable, software, designs, graphics, branding, PopPeople artwork, Popmantra-created badge artwork, interfaces, logos, names, visual elements, and other original platform content—are owned by or licensed to Popmantra or its applicable operating entity and are protected by applicable intellectual-property laws.

Except as expressly permitted through the Services, you may not copy, reproduce, modify, distribute, sell, license, reverse engineer, create derivative works from, or commercially exploit Popmantra intellectual property without authorization.

Organizer and user trademarks, logos, artwork, and other independently owned materials remain the property of their respective owners.

18. Copyright Complaints Popmantra respects intellectual-property rights.

If you believe content available through Popmantra infringes your copyright or other intellectual-property rights, you may contact:

info@Popmantra.io

Your notice should identify the work you believe has been infringed, identify the allegedly infringing material, provide sufficient information for us to locate the material, provide your contact information, and include any additional statements or information required by applicable law.

Popmantra may remove or restrict allegedly infringing material and may take action against repeat infringers where appropriate.

Additional copyright or DMCA procedures may be adopted and published by Popmantra.

19. Attendee Information and Organizer Access Popmantra may provide organizers with information relating to people who join their communities or participate in their events. Depending on available features, this may include information such as names, email addresses, profile information, community status or tier, and relevant event/community participation information.

Organizers may be permitted to export certain information, including through downloadable files such as CSVs.

Organizers may use attendee information for legitimate purposes associated with operating, communicating about, and developing their events and communities, subject to applicable privacy, marketing, communications, and data-protection laws and Popmantra policies.

Once an organizer exports or independently retains attendee information, that organizer is responsible for its handling and use of that information.

Organizers may not use Popmantra-provided information for unlawful spam, fraud, harassment, unauthorized sale of personal information, or other prohibited purposes.

Popmantra’s own collection, use, disclosure, and processing of personal information will also be governed by the Popmantra Privacy Policy.

20. Communications By creating an account or using the Services, you agree that Popmantra may send you transactional and service-related communications necessary or reasonably related to your use of Popmantra, including communications concerning:

●   account authentication and security;
●   tickets and purchases;
●   event updates;
●   check-in;
●   badges and community status;
●   payment or payout activity;
● changes affecting the Services; and
●   legal or policy notices.

Depending on the contact information and permissions you provide, these communications may be delivered by email, push notification, text message, in-app notice, or other available means.

Marketing and promotional communications will be handled separately where consent or opt-out rights are required by applicable law.

21. Assumption of Event Risk; Disclaimers Real-world events inherently involve risks, which may include crowds, travel, venues, physical activity, alcohol, interactions with other attendees, equipment, weather, transportation, security incidents, and other foreseeable or unforeseeable circumstances.

By choosing to attend an event, you acknowledge and accept the ordinary risks associated with participating in real-world events.

For independently operated events, Popmantra does not control the venue, organizer, personnel, performers, vendors, security, attendees, alcohol service, transportation, or other event operations.

TO THE FULLEST EXTENT PERMITTED BY LAW, POPMANTRA IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF INDEPENDENT EVENT ORGANIZERS, VENUES, PERFORMERS, VENDORS, SECURITY PROVIDERS, ATTENDEES, OR OTHER THIRD PARTIES.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY LAW.

POPMANTRA DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY DEVICE, BLOCKCHAIN, WALLET, PAYMENT SERVICE, OR THIRD-PARTY PLATFORM.

Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded.

22. Dispute Resolution, Arbitration, and Class Action Waiver PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

A. Informal Dispute Resolution

Before initiating arbitration or litigation concerning a dispute arising out of or relating to these Terms or the Services, you and Popmantra agree to make a good-faith effort to resolve the dispute informally for at least 30 days.

A user may initiate this process by sending a written description of the dispute and requested resolution to info@Popmantra.io.

Popmantra may contact the user through the contact information associated with the user’s account.

The parties will attempt in good faith to resolve the dispute during the 30-day period before commencing arbitration, except where immediate relief is legally necessary.

B. Binding Individual Arbitration

Except for disputes that legally cannot be arbitrated and requests for qualifying injunctive or equitable relief concerning misuse or infringement of intellectual property, you and Popmantra agree that disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration on an individual basis, rather than through a lawsuit in court.

The arbitration will be administered by a nationally recognized arbitration provider under consumer or commercial rules appropriate to the nature of the dispute, as determined by the applicable arbitration agreement and law.

C. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND POPMANTRA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

An arbitrator may not consolidate multiple persons’ claims or preside over a class or representative proceeding except where applicable law requires otherwise.

D. Jury Trial Waiver

To the extent a dispute proceeds in court rather than arbitration, and to the extent permitted by law, each party waives the right to a trial by jury.

E. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, except to the extent federal law or another applicable law controls.

23. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, POPMANTRA AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, LOSS OF DIGITAL ASSETS, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, POPMANTRA WILL NOT BE LIABLE FOR LOSSES ARISING FROM:

●   independently operated events;
●   organizer conduct;
●   third-party platforms or integrations;
●   blockchain network failures;
●   wallet-provider failures;
●   external transfers of digital assets;
●   incorrectly entered blockchain addresses;
●   irreversible blockchain transactions;
●   payment-processor or banking failures;
●   unauthorized account access not caused by Popmantra’s legally actionable conduct;
●   user-generated or organizer-generated content; or
● events outside Popmantra’s reasonable control.

Nothing in these Terms limits liability that cannot lawfully be limited.

24. Indemnification To the fullest extent permitted by applicable law, if you are an organizer, you agree to defend, indemnify, and hold harmless Popmantra and its affiliates, owners, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from or relating to:

●   your events or communities;
●   your content;
●   your violation of these Terms;
●   your violation of applicable law;
●   your failure to obtain required permits, licenses, permissions, or approvals;
●   your promises, rewards, perks, or representations to attendees;
● your handling or use of attendee information; or
● claims by your staff, contractors, performers, venues, vendors, sponsors, or attendees arising from your operation of an independently operated event.

This provision does not require indemnification to the extent prohibited by applicable law.

25. Suspension and Termination Popmantra may suspend, restrict, or terminate access to some or all of the Services where reasonably necessary to:

● enforce these Terms;
● investigate or prevent fraud;

●   protect users or organizers;
●   respond to security threats;
●   comply with legal obligations;
● protect Popmantra’s rights or infrastructure; or
● address conduct that materially threatens the safety or integrity of the platform or its communities.

Where legally permitted, Popmantra reserves the right to refuse service.

Termination of a Popmantra account does not necessarily delete or reverse blockchain records or assets that have already been recorded on-chain.

Sections that by their nature should survive termination—including provisions concerning intellectual property, blockchain records, disclaimers, limitations of liability, indemnification, and dispute resolution—will survive.

26. Changes to the Services Popmantra is an evolving platform.

We may add, modify, test, replace, suspend, or discontinue features, functionality, integrations, membership structures, badge mechanics, blockchain infrastructure, pricing models, or other aspects of the Services.

We may offer beta, experimental, early-access, or pilot features. Such features may be incomplete, change without notice, contain errors, or be subject to additional terms.

Nothing in these Terms guarantees that a particular feature will remain available permanently.

27. Changes to These Terms Popmantra may update these Terms as the Services, business, technology, or legal requirements evolve.

When we make material changes, we may provide notice through reasonable means such as email, in-app notice, push notification, or prominent notice through the Services.

The updated Terms will identify a revised “Last Updated” date.

Where applicable law requires affirmative consent to a material change, Popmantra will seek that consent.

Continued use of the Services after updated Terms become effective may constitute acceptance where permitted by law.

28. Electronic Communications and Agreement You consent to conducting transactions with Popmantra electronically and to receiving agreements, disclosures, notices, and other records electronically where permitted by law.

You agree that electronic acceptance of these Terms may have the same legal effect as signing a written agreement, subject to applicable law.

You are responsible for maintaining an email address and other contact information that allows Popmantra to communicate with you regarding your account.

29. General Terms Entire Agreement

These Terms, together with any policies, event-specific terms, organizer terms, purchase terms, or other agreements expressly incorporated into them, constitute the agreement between you and Popmantra concerning the Services covered by these Terms.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

No Waiver

Popmantra’s failure to enforce a provision of these Terms does not waive its right to enforce that provision later.

Assignment

You may not assign your rights or obligations under these Terms without Popmantra’s prior written consent.

Popmantra may assign these Terms in connection with a merger, acquisition, corporate reorganization, change in control, financing, sale of assets, formation or transition to a successor Popmantra entity, or other lawful business transaction.

No Partnership

Except where expressly agreed in writing, these Terms do not create a partnership, joint venture, employment, franchise, or agency relationship between Popmantra and any user or independent organizer.

Headings

Section headings are provided for convenience and do not limit the meaning of these Terms.
